Agreement

All products and services made available for purchase by Cornerstone Courts or its affiliates (referred to hereafter as the “Seller”), whether through its sales team, authorized distributors, or representatives, are provided under the terms and conditions outlined in this document. Acceptance of this offer is strictly limited to these terms. Any additional, conflicting, or varying terms proposed by the Buyer—regardless of form—are expressly declined unless the Seller provides written confirmation agreeing to such modifications.

If you do not accept these terms, you will not be permitted to complete a purchase. Therefore, it is important that you read them carefully. By proceeding with a purchase of any goods, services, or information from Cornerstone Courts or via www.cornerstonecourts.com.au/warranty, the Buyer affirms their agreement to these conditions.

These terms represent the full and exclusive agreement between the Buyer and Seller, superseding all prior or concurrent discussions, commitments, warranties, or contracts related to the goods, services, or information offered by the Seller or through www.cornerstonecourts.com.au. The Buyer agrees to review and accept these terms before making any transaction, and any purchase will be considered acknowledgment of and consent to these terms.

Intellectual Property

The website and all of its content, features, and functionality are owned by Cornerstone Courts and are protected by international copyright, trademark, and other intellectual property and proprietary rights laws.

Payments

All pricing is subject to change based on final specifications, order quantities, shipping requirements, or any other terms that differ from those outlined in the initial quote.

Unless specified otherwise in the order confirmation, full payment is required at the time of purchase. Orders will not be processed or shipped until payment has been received in full. Accepted payment methods include credit card, electronic funds transfer (EFT), or another pre-approved option.

The Buyer affirms and guarantees the following:

  1. All credit card details provided are accurate, current, and complete.
  2. The Buyer’s credit card provider will approve and honour the charges submitted.
  3. The Buyer agrees to pay all charges as outlined at the time of purchase, including any relevant taxes.

Any unpaid balances may incur a monthly late fee of 1.5% (equivalent to 18% annually), as allowed by law. If an account becomes overdue, any discounts, freight allowances, or other special terms originally granted may be revoked.

Taxes

All prices quoted or accepted by Cornerstone Courts exclude federal, state, municipal, or other government taxes, including excise, sales, use, occupational taxes, tariffs, customs, export duties, and other export-related costs. The buyer is responsible for paying any and all such taxes, duties, fees, and costs.

Prices may be adjusted to reflect any tax, tariff, duty, or fee that Cornerstone Courts is required to pay or collect at the time of sale or delivery of the products. These additional taxes, duties, fees, and costs, where applicable, will be listed separately as additional items on the invoice to the buyer.

The buyer is responsible for obtaining any necessary tax exemption certificates or similar documents required to exempt the sale of products from sales, use, or other taxes, at their own expense. These documents must be provided to Cornerstone Courts before delivery.

Cancellations & Returns

Due to the custom-built nature of all products and services offered by Cornerstone Courts, all sales are final once payment has been received. Each court is manufactured or configured to order, based on the specifications provided and approved by the customer at the time of purchase. As such, no cancellations, changes, returns, or refunds will be accepted after payment is made.

By submitting payment, the customer acknowledges and agrees that the order is binding and non-cancellable, and that the products cannot be restocked, resold, or repurposed due to their personalized design and fabrication. We strongly encourage customers to review all specifications and design elements thoroughly prior to finalizing their order.

Shipments, Passage Of Title, And Liability For Loss

All Cornerstone Courts products will be shipped directly to the delivery address provided by the customer at the time of order. It is the sole responsibility of the customer to ensure that the delivery location is accurate, accessible, and safe for unloading. If delivery cannot be completed due to customer error—such as an incorrect delivery address, restricted access, or an unsuitable unloading environment—the customer will bear all costs associated with re-delivery or rescheduling.

Delivery of custom court systems typically occurs within 6 to 8 weeks from receipt of full payment. This timeframe is an estimate only and is subject to variables beyond Cornerstone Courts’ control, including international freight conditions, import and export haulage, customs clearance, carrier availability, and transportation logistics. While we strive to meet projected timelines, Cornerstone Courts does not guarantee delivery dates, and is not liable for delays resulting from shipping issues, global events, or force majeure circumstances. In the event delivery is prevented entirely, a replacement shipment will be arranged.

Title to the Products and risk of loss passes to the customer upon shipment from our warehouse or designated shipping point. Once the goods are in transit, the customer assumes full responsibility for any loss or damage unless otherwise agreed in writing.

Cornerstone Courts tracks all international shipments and reserves the right to update or adjust shipping arrangements as needed. Customers will be notified of any material changes to delivery status or shipping conditions in a timely manner.

Design, Set Out And Installation

Court designs are predetermined based on the selected size and colour choice by the customer, and cannot be altered or customised. We will send you a copy of your design prior to shipment for reference.

Backboard set back is standard at approx. 1200mm from the baseline.

Court flooring must be installed on a concrete slab or base; however, asphalt will also suffice. Court systems are not suitable to put on grass, crushed rock or anything else. We recommended a concrete border between the tiles and slab edge, this is due to expansion and contraction and expected movement. Limitation Of Liability

Cornerstone Courts’ liability for any breach of or arising from this agreement shall be limited to the net purchase price of the products sold to the buyer by Cornerstone Courts under this agreement.

In no event shall Cornerstone Courts be responsible for the cost of procuring substitute goods by the buyer. Additionally, Cornerstone Courts shall not be liable for any special, consequential, incidental, economic, direct, indirect, or other damages (including but not limited to loss of profit), whether or not Cornerstone Courts has been advised of the possibility of such loss. This applies regardless of the cause, whether it is for breach or repudiation of contract, breach of warranty, negligence, or any other reason.

This exclusion also includes any liability arising from third-party claims against the buyer. The primary purpose of this provision is to limit the potential liability of Cornerstone Courts arising from this agreement and/or the sale of products.

No Other Warranties

No employee or agent of Cornerstone Courts is authorized to make any warranties regarding the products described in this agreement. Oral or written statements made by Cornerstone Courts’ employees or agents, including via email, do not constitute warranties, should not be relied upon by the buyer, and are not part of the agreement of sale. The entire agreement between the parties is reflected in this written document, and no other warranties are provided beyond those outlined herein. The buyer acknowledges that they have not entered into this agreement based on any warranties or representations from any person or entity, except for those explicitly stated in this agreement.

No Waiver

The failure of Cornerstone Courts to enforce any provision of this agreement or to exercise any option or right herein at any time shall not be considered a waiver of such provision or right. This shall not be construed as a waiver of the enforceability of this agreement or any part thereof, nor will it impact Cornerstone Courts’ right to enforce any such provision in the future.

Attorneys' Fees

In the event of litigation involving the enforcement or interpretation of this agreement, or any request for shipment release made under this agreement, the prevailing party shall be entitled to reasonable attorneys’ fees and associated costs.

Governing Law

The parties acknowledge that any offer and acceptance between them forms a contract executed in the State of South Australia, Australia. All matters concerning the validity, construction, execution, and performance of this agreement shall be governed by the laws of the State of Victoria, without regard to the principles of (i) comity of nations or (ii) conflicts of law.

Binding Arbitration

Should any dispute, claim, question, or disagreement arise from this agreement or its breach, the parties agree to make a good-faith effort to resolve the matter amicably. They will consult and negotiate in good faith to reach an equitable solution.

If no resolution is achieved within 60 days, either party may notify the other, and the dispute shall be submitted to mediation under the Resolution Institute Mediation Rules.
If the dispute remains unresolved after 30 days of mediation (unless extended by mutual agreement), the matter will proceed to arbitration under the Resolution Institute Mediation Rules.
Regardless of any dispute, both parties shall continue to perform under the contract until resolution. The venue for any mediation or arbitration will be Adelaide, South Australia. Should the parties fail to agree on an arbitrator, either party may request a nomination from the Chair of the Resolution Institute.

Limitation Of Actions

No legal action for breach of this contract may be initiated more than one (1) year after the cause of action arises.

Assignment

The Buyer shall not assign, transfer, or otherwise dispose of this agreement or any rights hereunder without the prior written consent of Cornerstone Courts. Any unauthorized assignment or delegation shall be void and ineffective.

Entire Agreement And Modification

This document represents the complete and final expression of the agreement between the parties. It constitutes the exclusive terms of the agreement and supersedes all prior discussions or understandings. No modification, supplementation, or interpretation of this agreement shall be valid unless made in writing and signed by Cornerstone Courts. Acceptance or acquiescence to a specific course of performance shall not modify or waive any terms, even if known or acknowledged by the party.

Severability

If any term of this agreement is determined to be void or unenforceable, that term will be severed, and the remainder of the agreement will remain in effect as if the unenforceable term had not been part of the agreement.

No Indemnification

Unless explicitly stated in a written agreement signed by both parties, Cornerstone Courts shall not indemnify or hold the Buyer harmless from any liability, losses, damages, or expenses (including attorney’s fees) related to any claim, including but not limited to personal injury, death, or property damage connected to the products sold under this agreement.

Survival

Sections 19, 1, 2, 4, 5, 6, 9, 10, 12, 14, and 18 will survive the termination or cancellation of this agreement, as well as the sale of any product by Cornerstone Courts.

Buyer’s Understanding

The Buyer confirms that they have read and understood these terms and conditions and agrees that they are fair and reasonable.
